Seller and scope
The seller is Seapalm SAS, identified in the legal notice. These terms cover paid nodulz licences, subscriptions and expressly ordered services. An unavailable payment function cannot conclude an order.
The accepted quotation or order summary specifies the plan, licence rights, limits, duration, deployment, included services and price. A specific agreement may supplement these terms; mandatory legal protections remain applicable.
Orders and pre-contract information
Before paying, check price, billing frequency, taxes, possible charges and renewals, technical requirements, compatibility and plan features. Requesting a quotation or visiting pricing is not an order.
Orders are concluded through the applicable subscription process or quotation acceptance. Customers must be able to retain confirmation and contractual documents on a durable medium.
Pricing, billing and payment
Applicable pricing and tax treatment are announced before order confirmation. Monthly, annual or one-off billing depends on your plan. Quotation, discount and plan change terms are shown before acceptance.
Online payments, where available, are processed by Stripe. Card information is entered on its secure interfaces. Invoices and payment references are retained for administration and accounting duties.
Due dates, non-payment consequences and, for professional customers, legally applicable penalties and recovery charges must appear in billing documents or special terms supplied before the order.
Activation and deployment
Plan rights are supplied according to the order and payment confirmation where required. A licence does not automatically include hosting, installation, migration or an availability commitment.
Check your self-hosted instance’s configuration and requirements. For a Seapalm-operated service, deployment terms and, where it accesses personal data on your behalf, a data processing agreement are established before delivery.
Subscriptions, renewal and plan changes
Subscription period and renewal are disclosed before purchase. Automatically renewing subscriptions continue at that frequency until cancelled under the agreed terms.
Plan changes, effective dates, possible prorations and consequences are shown before confirmation. Price changes do not apply retrospectively to an already paid period. Statutory information and cancellation rules remain applicable.
Cancellation and data
Where subscription management is available in the portal, request cancellation from the relevant licence. You may also contact Seapalm for difficulties or quoted services. The effective date depends on the order and chosen option and must be confirmed.
Unless a statutory right or agreement provides otherwise, a committed period remains payable. No non-refund principle may override a statutory right. Closing an account does not replace cancelling a subscription.
Arrange export before access ends. Hosted data entrusted to Seapalm is returned or deleted under the applicable agreement, then deleted within 30 days of service termination unless legally required otherwise. Self-hosted instance data remains under your control.
Withdrawal rights, where applicable
A consumer concluding a distance contract normally has 14 days from entering a service or digital supply contract to withdraw. Send an unambiguous statement to Seapalm using the details below, identifying the order and date. Refunds follow statutory periods and procedures.
Early performance requires the express request or agreement required by law. For a service not fully performed, a proportionate amount may be due where statutory conditions are met. Loss of the right for digital content supplied without a tangible medium requires, among other conditions, prior express agreement, acknowledgement of that loss and confirmation on a durable medium. Payment or use alone is not a waiver.
Model statement: “I hereby give notice that I withdraw from my contract for the following nodulz plan: [plan and reference]. Ordered on: [date]. Customer name and address: [details]. Date: [date].” A signature is required only for a paper submission.
Guarantees and support
Applicable statutory guarantees remain due, including conformity of digital content and services for consumers. For continuous supply, the guarantee applies during the contractual supply period; for a one-off supply, the relevant statutory regime applies.
Report conformity issues to Seapalm with information needed to understand them. Bringing the service into conformity and, where conditions apply, price reduction or termination follow the law. A support plan or commercial warranty does not replace these guarantees.
Additional maintenance, intervention or service-level commitments are those expressly ordered.
Liability, complaints and mediation
Each party’s obligations and liability follow the ordered service and law. External dependencies and customer-configured actions do not remove Seapalm’s own obligations.
Send a written complaint to Seapalm to seek an amicable resolution. Consumers retain their right to free consumer mediation; details of the mediator actually appointed must be supplied in contractual documents before a relevant subscription.
French law applies subject to mandatory customer protections. Applicable jurisdiction rules are respected.
